A. Scope of Services and Platform Access Rights

This document governs your use of the NowX Platform (“NowX”, “Company”, “we”, “our”, or “us”), a technology-driven fashion q-commerce service that facilitates hyperlocal discovery and trial-based purchasing of fashion products. The terms “You”, “Your”, or “User” refer to user of the Platform. The NowX website and mobile application (collectively, the “Platform”) provide you with a personal, limited, non-exclusive, non-transferable, and revocable right to access and use the Platform for the sole purpose of exploring and ordering fashion products from partnered local retailers for personal use. This right does not extend to resale or any form of commercial use, either directly or indirectly, of the Platform or its contents, including but not limited to the product listings, brand material, images, or delivery system.

NowX reserves the exclusive right to add, modify, discontinue, or restrict any product category, service, or retailer listing without prior notice. We may, at our discretion, introduce additional terms and conditions that apply specifically to certain types of products, delivery zones, or retail partners. Your continued use of the Platform following the implementation of such changes constitutes your express agreement to comply with any revised terms applicable to those offerings.

We further reserve the right to determine service availability on a region-by-region basis. The scope of services—including, but not limited to, doorstep trial, product exchange, and local discovery—may vary by geography and depend on operational readiness, partner retailer density, and logistical feasibility. Customers are advised to verify availability in their respective city or area before relying on specific Platform services.

The products you view, try, and purchase through NowX are listed and fulfilled by independent retailers, not by NowX directly. While we facilitate the connection and offer a seamless digital and logistics interface, the primary responsibility for inventory accuracy, product quality, and fulfillment lies with the respective retailer. Last-mile deliveries are performed either by the retailers themselves or by verified third-party delivery partners officially registered with NowX. In all such cases, NowX serves as an enabling intermediary, but not as a seller, owner, or manufacturer of the listed products.

B. Eligibility to Use the Platform

Access to and use of the NowX Platform is strictly limited to individuals who are competent to enter into legally binding contracts under the Indian Contract Act, 1872. By using the Platform, you represent and warrant that you are at least 18 (eighteen) years of age or accessing the Platform under the supervision and consent of a parent or legal guardian.

If you are a minor, i.e., under the age of 18 years, your use of the Platform must be under the direct supervision of your parent or guardian who agrees to be bound by these Terms on your behalf.

The Platform and its associated services are intended solely for personal, non-commercial use. You agree not to impersonate any person or entity or falsely state or otherwise misrepresent your identity, age, or affiliation with any person or entity.

Users found violating eligibility requirements or providing false information will have their access restricted or permanently terminated without notice.

Furthermore, users are expected to behave in accordance with principles of equality, non-discrimination, and decency. Any instance of abusive conduct, discriminatory remarks, or refusal to engage with delivery personnel or platform representatives on the basis of race, religion, caste, gender, sexual orientation, physical disability, national origin, or any other legally protected class will result in an immediate review of the user’s access. NowX retains the right to suspend or block any user account in response to credible evidence of such behavior.

We also reserve the right to restrict access to the Platform in specific areas or jurisdictions where service operations are not supported. It is the user’s responsibility to confirm that NowX services are available in their region prior to placing any orders or initiating engagement with the Platform.

C. User Account, Registration, and Security

In order to avail the full range of services offered by NowX, including the ability to place orders, receive trial-based deliveries, and manage exchanges, you are required to register and create a user account (“Account”) on the NowX Platform. Registration requires you to submit accurate and complete personal information such as your full name, contact number, delivery address, and other details as mandated under the Platform’s Privacy Policy.

You agree and acknowledge that you are solely responsible for maintaining the confidentiality of your Account credentials, including your username and password. All activities that occur under your Account, whether authorized or unauthorized, shall be your sole responsibility.

You further agree to immediately notify NowX in writing of any unauthorized use of your Account or any other breach of security. If NowX has reason to believe that your account information is incorrect, outdated, incomplete, or that it has been compromised, we reserve the right to temporarily suspend or permanently terminate your Account and deny current or future use of the Platform without prior notice.

You also agree that your Account is personal to you, and you shall not assign, transfer, or allow any third party to use your Account. Misuse of login credentials, including shared access or impersonation, shall constitute a violation of these Terms and may lead to legal and financial liability.

NowX reserves the right to validate your identity at any point during your use of the Platform. This may include, but is not limited to, OTP verification, geolocation tracking during delivery, or re-authentication in the event of suspicious activity. Failure to cooperate with such procedures may result in access restrictions or account termination.

D. Services Offered and Trial-Based Delivery Model

NowX is a technology-enabled fashion quick commerce platform that enables users (“User”) to browse, select multiple products, try, and purchase fashion products from local partner retailers (“Retailers”) within their neighborhood. The Platform is designed to provide a premium, digital-first shopping experience with the added benefit of doorstep trial services.

By accessing the Platform, you are granted a limited, non-exclusive, non-transferable, and revocable right to use the Platform for personal, non-commercial purposes. This right explicitly excludes any resale, redistribution, or commercial exploitation of the Platform’s contents, services, or associated benefits unless expressly authorized by NowX in writing.

  • Online discovery and browsing of fashion products listed by third-party Retailers.
  • The ability to place multi-item orders from available nearby stores.
  • Doorstep delivery by verified Retailer staff for the purpose of physical trial.
  • A “try-before-you-buy” feature where payment is collected only for items accepted after physical inspection and trial.
  • One-day exchange facility post-purchase for garment durability checks.

All orders placed on the Platform are routed to nearby Retailers based on product availability, delivery feasibility, and performance ratings. NowX reserves the exclusive right to auto-assign or reassign orders to alternative Retailers in cases where the originally designated Retailer fails to accept or fulfill the order in a timely manner.

Deliveries are executed either by the Retailer's registered and verified delivery personnel or by third-party logistics providers engaged by the Retailer or NowX. You acknowledge and agree that NowX merely provides a facilitation platform and does not directly engage in inventory handling or the sale of physical goods. If NowX is a seller, owner, or manufacturer of the listed products, then it will ensure all the data regarding that in the platform.

While the Platform ensures stringent onboarding and verification protocols for Retailers and delivery staff, NowX disclaims liability for any issues arising due to the product's condition post-trial or any misuse of the service by either party.

The Company may at any time add, modify, restrict, or remove Services without prior notice. Your continued use of the Platform post such modifications shall constitute your acceptance of the revised Services.

Before attempting to place an order, you are advised to check whether NowX Services are available in your region, as the Company reserves the right to provide or restrict Services in specific geographies at its sole discretion.

E. Prohibited Activities

1. Prohibited Uses

You agree not to engage in any activity that may:

  • Misuse the trial-first purchase model, including but not limited to damaging, soiling, or deliberately misusing clothing during trials with no intention to purchase.
  • Provide false or misleading information when placing an order.
  • Resell, reproduce, or exploit any product or content from the Platform for commercial gain without prior written consent from NowX.
  • Harass, threaten, or misbehave with delivery staff, Retailers, or support personnel.
  • Attempt to collect or store personal information of delivery agents or Retailers, or communicate outside the permitted Platform channels.
  • Tamper with the Platform’s operations, engage in fraud, circumvent order processes, or abuse promotional offers.
  • Use the Platform in a way that may harm, disable, overburden, or impair NowX’s infrastructure or network.
  • Interfere with any other User’s use or enjoyment of the Platform.
  • Impersonate another person, User, or misrepresent your affiliation with any entity.

2. Consequences of Violation

NowX retains the absolute right to suspend, block, or permanently terminate your access to the Platform for any violation of these obligations. This includes but is not limited to:

  • Immediate cancellation of your pending orders.
  • Legal action and/or recovery of damages where applicable.
  • Reporting to relevant enforcement or regulatory authorities for any fraudulent or unlawful behavior.

F. Retailer Responsibilities and Service-Level Expectations

Retailers partnered with the NowX Platform are critical to delivering a high-quality customer experience. By associating with NowX, all Retailers agree to adhere to a transparent, professional, and customer-centric service model that respects the trial-first commerce format. These expectations are designed to protect customer rights, ensure fair business practices, and uphold the integrity of the Platform.

1. Retailer Conduct and Onboarding

Retailers must complete a mandatory onboarding process, which includes:

  • Business verification and licensing compliance.
  • Agreement to follow the Platform’s privacy, customer service, and data protection norms.
  • Consent to dispatch orders only through verified, ID-carrying delivery personnel who have undergone background and police verification checks.

Retailers shall not engage in deceptive marketing, list false product information, or alter prices post-order. Any violation may lead to temporary suspension or permanent blacklisting from the Platform.

2. Product Listings and Availability

Retailers are responsible for:

  • Ensuring that all product listings are accurate, including size, style, fabric, and price.
  • Maintaining real-time inventory synchronization with the Platform.
  • Fulfilling orders promptly and dispatching products in clean, undamaged, and wearable condition.
  • Disclosing any defects, irregularities, or special handling instructions for the items.

The Platform reserves the right to remove or suspend listings that are misleading, miscategorized, or violate quality standards.

3. Trial and Exchange Support

Retailers must respect the trial-first purchase model. This means:

  • Customers are allowed to inspect and try the products before committing to purchase.
  • No pressure, coercion, or inducement to complete a sale may be applied.
  • Delivery staff must remain courteous, non-intrusive, and provide privacy upon request.
  • Products rejected during trial must be accepted back without dispute.
  • Customers are entitled to a one-day (24-hour) exchange policy to verify product quality after wash. Fit, size, or style concerns are not grounds for exchange.

Retailers failing to honor exchanges or violating customer privacy may be penalized or removed from the Platform.

4. Compliance with Platform Policies

Retailers must:

  • Not collect or save customer data outside the Platform.
  • Not follow up with customers through calls, WhatsApp, or any personal channels.
  • Communicate only through official Platform methods.
  • Respect all Platform protocols regarding returns, disputes, and ratings.
  • Accept Platform-imposed penalties in case of no-show deliveries, product misrepresentation, or repeated negative ratings.

5. Performance and Ratings

Retailer performance is monitored through customer ratings (product quality, shopping experience), feedback, and order fulfillment metrics. NowX may:

  • Promote high-performing stores within the app.
  • Relegate or temporarily hide stores with repeated service complaints.
  • Suspend stores that fail to meet minimum satisfaction scores or delivery commitments.

Retailers agree to be bound by Platform evaluations and accept these ratings as a basis for visibility and continued participation.

G. Delivery Personnel Policy and Behavioral Standards

Delivery personnel play a crucial role in shaping the customer experience on the NowX Platform. As the final point of interaction in the order lifecycle, they are required to maintain the highest standards of behavior, professionalism, and operational discipline. This Delivery Personnel Policy outlines the mandatory expectations and code of conduct for all individuals engaged in delivery services under NowX.

1. Conduct and Professionalism

All delivery personnel are considered representatives of both the Platform and the associated Retailers. They must:

  • Behave respectfully, courteously, and professionally at all times.
  • Maintain personal hygiene and wear clean, presentable attire.
  • Clearly explain the trial-and-pay-later process to customers.
  • Refrain from any form of harassment, discrimination, or inappropriate interaction.
  • Respect customer privacy, especially during trial or try-on sessions.
  • Provide trial assistance without being intrusive, and step aside or leave the premises if privacy is requested.

Any act of misbehavior, threat, or inappropriate language will result in immediate suspension and potential legal consequences.

2. Identification, Registration & Verification

Before engaging in deliveries, all delivery agents must:

  • Be officially registered with the NowX Platform.
  • Complete police verification and background checks.
  • Carry a valid photo ID issued or approved by NowX.
  • Present ID to customers upon request.

Unregistered or unverified personnel are strictly prohibited from handling orders.

3. Trial Etiquette and Payment Collection

Delivery agents are required to:

  • Allow customers to try products in a private and non-pressured environment.
  • Ensure they only collect payments for products accepted after trial.
  • Never request or demand payment before the trial process is complete.
  • Never attempt to influence or pressure the customer into accepting items.

Any misconduct during this phase, such as overcharging, forcing purchases, or denying trial rights, will lead to disciplinary action.

4. Timeliness, Reliability & Cleanliness

Punctuality and product presentation are vital to customer satisfaction. Therefore, delivery personnel must:

  • Deliver all assigned orders within the promised timeframe.
  • Use clean, undamaged delivery bags.
  • Ensure that all items are wrinkle-free, fresh, and in wearable condition.
  • Notify the Platform immediately in case of unexpected delays.
  • Avoid last-minute cancellations or failure to deliver, which may result in penalties of ₹500 per incident.

5. Communication Protocols

All customer communication must be routed through authorized Platform channels. Delivery agents must:

  • Avoid sharing their personal phone number or social media contacts with customers.
  • Not initiate WhatsApp conversations or direct follow-ups.
  • Only engage in communication relevant to the delivery and in a professional tone.
  • Respect gender sensitivity protocols — for example, assign female staff where appropriate or required.

Violations of this policy will result in deactivation or permanent removal from the Platform.

6. Zero-Tolerance Infractions

NowX enforces a zero-tolerance policy for the following violations:

  • Theft, fraud, or product tampering.
  • Harassment, intimidation, or physical misconduct.
  • Unauthorized individuals delivering on behalf of a registered agent.
  • Capturing photos/videos or collecting customer data without consent.

These offenses will lead to immediate termination and, where applicable, legal action.

7. Compliance and Safety

All delivery staff are expected to:

  • Follow local traffic laws and delivery safety protocols.
  • Handle products with care, particularly delicate or luxury fashion items.
  • Report any safety concerns, suspicious activity, or customer complaints to NowX immediately via the Platform’s support channel.

8. Acknowledgment and Agreement

By accepting a delivery role with NowX, the personnel acknowledge full understanding of and agreement to this policy. Continued non-compliance may lead to penalties, deactivation, or blacklisting from all NowX-affiliated services.

H. Payment Policy, Return & Exchange, and Applicable Charges

H.1 Payment Policy

By using NowX's platform (“Platform”), you agree to our unique Trial-First, Pay-Later model, which enables customers to experience garments at their doorstep before committing to a purchase.

  • Trial First: Customers are allowed to try the items delivered to them before making any payment.
  • On-the-Spot Payment: Customers only pay for the products they decide to keep after the trial. The remaining items are returned to the retailer immediately.
  • Payment Mode: Payments are accepted only in person by the retailer's verified delivery staff. At this stage, we do not support online or advance payment methods.
  • Payment Receipt: Retailers may provide a digital or physical receipt upon request at the time of successful transaction.

Important Notes:

No Forced Payment: Retailers or delivery staff are strictly prohibited from demanding payment before the customer has tried the product.

Trial Refusal Rights: The customer is under no obligation to purchase any product unless satisfied.

H.2 Return & Exchange Policy

Due to the nature of our trial-based fashion commerce, we maintain a streamlined and fair post-delivery exchange policy:

  • Items once purchased after trial are not eligible for return.
  • Customers are encouraged to trial items thoroughly before making a decision.
  • Exchange must be requested within 24 hours from the time of delivery.
  • The garment must be:
  • – Unworn (beyond the initial trial)
  • – Unaltered
  • – Unwashed (other than for the quality check)
  • – In original condition with tags intact (if applicable)

1-Day Exchange Policy (Post-Wash Quality Check):

We offer a 1-day exchange window to customers to assess product durability and quality after a wash.

  • Exchanges are allowed only once per order.
  • Exchanges are not applicable for sizing, or fit issues.
  • Exchange requests are fulfilled subject to inventory availability at the respective retailer's store.
  • The final decision rests with the retailer and NowX.

H.3 Platform Charges and Fees

We believe in transparent pricing and minimal charges to maintain trust and fairness for all users—customers and retailers alike.

For Customers

  • Platform Fee: Customers are charged ₹5 as service fee for using the Platform per order.
  • Delivery Fee: Standard deliveries, including trial-based deliveries, are free of charge for customers unless explicitly stated for certain premium services in the first few orders. Further the delivery fee charged ₹40 per order and for the trial the maximum free time is 10 minutes, ₹2.5/min charge for the extra time of the trial the product.
  • No Subscription Required: Customers can freely access and use the Platform without any subscription.

For Retailers (Reference)

  • ₹499/month subscription post introductory free trial.
  • ₹500 penalty per order for accepted but undelivered items.
  • Possible loss of visibility or removal from platform features in cases of repeated violations.

J. Advertisement Policy

This section governs how advertisements are displayed, managed, and interacted with on the NowX platform (“Platform”), including the rights and responsibilities of all parties involved.

j.1 Platform-Controlled Advertisements

NowX may display advertisements from third-party brands, partnered retailers, or internal promotions across the Platform, including banners, in-app placements, push notifications, and promotional pop-ups.

Such advertisements are carefully curated to ensure relevance to the fashion and quick-commerce ecosystem and may be personalized based on your preferences, behavior, or location.

J.2 Retailer Promotions

Partnered retailers may promote specific products, offers, or discounts through ad placements visible to customers during browsing, order placement, or post-order communication.

Retailers are responsible for the accuracy, clarity, and compliance of their promotional material and offers.

Any misrepresentation, false claims, or misleading promotional content by retailers will be treated as a breach of the Platform’s ethical advertising standards and may lead to penalties or removal.

J.3 Sponsored Content and Rankings

Certain product listings or retailers may be marked as "Sponsored" or "Featured". These placements may be a result of paid promotions or performance-based incentives (e.g., higher ratings or fulfillment quality).

Sponsored placements do not guarantee product quality or endorse the retailer over others unless explicitly stated.

Customers are advised to exercise their own discretion and are not obligated to act upon any promotional message.

J.4 User Data & Advertisement Personalization

Personalized ads may be shown based on user activity, interests, location, and interaction history on the Platform.

No personal or sensitive customer data is shared with third-party advertisers without explicit user consent.

You can manage advertising preferences through account settings, where applicable, or contact customer support to limit data usage for ad personalization.

J.5 Advertisement Ethics & Restrictions

The Platform prohibits advertisements or promotions that:

  • Contain false, misleading, or unverifiable claims
  • Promote counterfeit, unauthorized, or restricted goods
  • Include offensive, discriminatory, or inappropriate visuals or language
  • Violate the Advertising Standards Council of India (ASCI) Code or applicable Indian laws

All advertisements must comply with the Consumer Protection Act, 2019, Information Technology Act, 2000, and relevant rules governing digital content and advertisement practices in India.

J.6 Feedback & Reporting

Users may report suspicious or misleading advertisements by using in-app reporting features or by contacting customer support at [Insert Support Email].

Verified complaints will result in review, possible takedown, and action against the advertiser if applicable.

K. Grievance Redressal Mechanism

K.1 Purpose and Scope

At NowX, we are committed to providing a seamless and trustworthy experience for all users. If you face any concerns, complaints, or grievances related to your use of the Platform, including order fulfillment, delivery staff behavior, product quality, data privacy, or platform misuse, you may file a formal grievance through the channels provided below.

This mechanism covers all registered users, guests, retailers, and delivery personnel using the Platform.

K.2 Complaint Submission Process

To file a grievance, users are required to:

  • Send a written complaint via email or registered post to the Grievance Officer with:
  • Full name and contact details
  • Registered account information (if applicable)
  • Description of the issue, including dates, order ID (if applicable), screenshots, and supporting documents
  • Expected resolution or relief sought
  • Alternatively, users may use the in-app Help Center or Customer Support Chat to raise preliminary queries, which may be escalated to the Grievance Officer upon request.

K.3 Timeline for Resolution

Acknowledgment: All grievances will be acknowledged within 48 hours of receipt.

Resolution: The Grievance Officer shall make all reasonable efforts to resolve the complaint within 15 working days from the date of acknowledgment, depending on the complexity of the issue.

If the issue requires additional investigation or third-party coordination (e.g., retailers, payment gateways), the user will be informed of the extended resolution time.

K.4 Appeal & Escalation

If a user is dissatisfied with the resolution, they may escalate the matter to the Nodal Officer or senior compliance authority (where applicable). Contact details for escalation will be provided in the final communication from the Grievance Officer.

K.5 Records and Reporting

The Platform shall maintain records of all grievances received, action taken, and resolutions issued for a minimum period of 3 years, as per applicable regulatory guidelines.

L. Platform Disclaimer and Limitation of Liability

NowX functions as an online technology platform that facilitates seamless discovery, trial, and purchase of fashion and lifestyle products from multiple independent third-party retailers.

The Platform neither owns nor sells any of the products listed. All items available for browsing, ordering, and trial are stocked, managed, and fulfilled by local partnered retailers (“Retailers”) who have entered into a commercial arrangement with the Platform for listing and delivery facilitation purposes.

NowX expressly disclaims any ownership over the goods being sold and does not, at any stage, assume responsibility for the manufacturing, packaging, labeling, branding, or warranties associated with those products.

All responsibilities concerning quality, authenticity, fit, sizing, color accuracy, washing instructions, and post-sale issues remain solely with the respective Retailer.

The Platform only facilitates technology-driven interactions between Users and Retailers, and enables doorstep trials through trained delivery personnel, without direct involvement in transaction-specific decision-making.

The Platform shall not be liable for any of the following:

  • Discrepancies between product images and actual items received;
  • Damage caused to items post-delivery due to user handling or washing;
  • Unavailability of specific styles, sizes, or brands in certain regions;
  • Delays in delivery caused by force majeure events, traffic disruptions, weather conditions, labor strikes, or technical malfunctions;
  • Misuse of the trial experience by either the customer or delivery staff, unless proven and acknowledged by NowX after investigation;
  • Any indirect, incidental, consequential, or punitive damages arising out of the use or inability to use the Platform.

NowX also disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted under applicable law.

Users are advised to exercise their own discretion when engaging in purchases, and must verify product details, exchange policies, and privacy practices before accepting or paying for items.

The Platform may at its sole discretion suspend or terminate access to any User or Retailer found in breach of its terms or engaged in fraudulent, abusive, or harmful behavior.

All content, tools, logos, databases, UI/UX elements, and platform infrastructure remain the intellectual property of NowX and may not be copied, reverse-engineered, or commercially exploited without prior written consent.

M. Governing Law and Jurisdiction

These Terms of Service, including any policies referenced herein, shall be governed by and construed in accordance with the laws of India.

All disputes arising out of or in connection with the use of the Platform, services rendered by NowX, or any matters related thereto, including but not limited to breach, interpretation, or termination of these Terms, shall be subject to the exclusive jurisdiction of the competent courts located in [Insert City/State], India.

By accepting these Terms, you agree that any legal action or proceeding arising under or in relation to these Terms shall be brought solely before the aforementioned courts, and you irrevocably consent to the exclusive jurisdiction and venue of such courts.

You further waive any objection based on jurisdiction or venue and agree not to assert any defense involving the same.

You acknowledge and understand that the services offered through NowX are intended solely for users located within the territory of India, and are not intended to be accessed or used in any jurisdiction or territory where such access or use would be contrary to applicable laws or regulations.

Users who access the Platform from outside India do so at their own risk and are solely responsible for compliance with local laws, if and to the extent such laws are applicable.

All communications must include your registered contact number, order ID (if applicable), and a clear description of your concern to ensure prompt resolution. Our response times are governed by internal SLAs (Service Level Agreements), and depending on the nature of the request, resolution may require coordination with the retailer or delivery partner involved.

Please note that any grievances regarding personal data handling, delivery misconduct, order tampering, or misuse of the trial system will be escalated and investigated with high priority. If unsatisfied with the resolution provided, you may request for the issue to be reviewed by a senior representative of the platform.

O. Amendments to Terms

NowX retains the absolute right to modify, update, or amend these Terms at its sole discretion, without prior notice. Any changes to the Terms will be posted on the Platform and will include a "Last Updated" date at the beginning of the document. It is your responsibility to review these Terms periodically for updates. Your continued use of the Platform after any modification of the Terms constitutes your acceptance of the revised Terms.

The Platform may, from time to time, introduce new services, features, or make changes to existing functionalities, including but not limited to trial processes, payment collection methods, user eligibility, or geographic availability. Such updates may also require changes to policies related to privacy, delivery conduct, refunds/exchanges, or customer support procedures.

If any changes are made that materially impact your rights or obligations, we may notify you either through the Platform interface (app or website), email, push notification, or other available communication methods. If you do not agree to the amended Terms, you must discontinue use of the Platform and uninstall the application immediately.

All prior versions of the Terms will stand superseded as of the effective date of the updated Terms.
